JOB DESCRIPTION:
Key Responsibilities:
- Assist attorneys with filings, including the formation and registration of investment advisers and mutual funds, reorganizations, proxy statements, and annual prospectus updates.
- Support attorneys in all aspects of private fund offerings, including federal and state securities filings.
- Organize, index, file, and maintain documents and materials across various media formats.
- Proofread prospectuses, board minutes, forms, and other legal documents.
- Conduct EDGAR and other electronic database research.
- Track team workflow and maintain status reports for clients.
- Promote a collaborative and cooperative team environment.
- Perform other duties as needed to support the smooth operation of the department, office, and firm.
Qualifications:
- Experience with corporate processes, including corporate formation, dissolution, board resolutions, and board minutes.
- Knowledge of governance and regulatory compliance requirements.
- Strong research abilities and the capacity to work independently.
- High attention to detail with excellent proofreading skills.
- Strong written and verbal communication skills with both internal and external clients.
- Excellent organizational skills and ability to maintain attention to detail.
- Capable of critical and analytical thinking in a high-pressure environment.
- Effective multitasking abilities and time management skills.
- Proficiency in Microsoft Word, Excel, and electronic filings.
Preferred Qualifications:
- Familiarity with the Investment Company Act of 1940 and the Investment Advisers Act of 1940.
- Knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.
- Understanding of federal and state securities filing requirements (Blue Sky, Form D).
- Knowledge of Section 13 filings.
- A Bachelor's Degree and four to six years of experience in investment management (preferred) or corporate law.
